These terms govern access to and use of Sellerio, an e-commerce operations platform ("Sellerio," "we," "us"). By creating an account or using Sellerio, you agree to these terms, the Privacy Policy, and the Refund & Cancellation Policy, which are incorporated here by reference.

Definitions
- "Account holder" means the individual or business that registers an organization workspace on Sellerio.
- "Organization" means an isolated workspace containing one account holder's connected marketplace accounts, team members, and data.
- "Connected account" means an Amazon Seller Central, Amazon Advertising, Flipkart, or Meesho account authorized for Sellerio to access.
- "Subscription" means a paid plan (Starter, Growth, or Scale) billed monthly or annually as described on the Pricing page.
What Sellerio is
Sellerio is an operations and advertising platform that connects to Amazon's Selling Partner API and Advertising API, along with Flipkart and Meesho data, to give sellers a unified view of orders, inventory, advertising performance, and profitability across their brands. Sellerio does not sell products itself and is not a marketplace — it is a tool used by sellers to manage their own selling operations. Sellerio is offered as a subscription service to any eligible seller; each customer's connected accounts and data are held in their own isolated organization workspace as described in our Privacy Policy.
Accounts & eligibility
- You must be at least 18 years old and have the legal capacity to enter a binding contract to create a Sellerio account.
- Access to Sellerio requires an account created for you or your organization. You're responsible for keeping your login credentials confidential and for all activity under your account.
- You must have the legal right to connect any Amazon, Flipkart, or Meesho seller account you link to Sellerio — either as the account owner or as an authorized representative with permission to grant that access.
- One organization may invite additional team members; the account holder is responsible for that team member's actions within the organization.
- We may suspend or terminate access for activity that violates these terms, misuses connected marketplace APIs, or risks the security of the platform or other users' data.
Acceptable use
You agree not to:
- Use Sellerio to access, store, or process data you're not authorized to access
- Attempt to reverse-engineer, disrupt, scrape, or overload the platform or its integrations with Amazon, Flipkart, or Meesho
- Use Sellerio in a way that violates Amazon's, Flipkart's, or Meesho's own developer or seller terms of service, including their respective Acceptable Use and Data Protection Policies
- Attempt to circumvent rate limits, authentication, or organization-isolation controls
- Resell, sublicense, or provide third-party access to Sellerio without our written agreement
- Use Sellerio to send unsolicited commercial communications, or upload malware or unlawful content
Subscription & billing
- Plans. Sellerio is offered on Starter, Growth, and Scale subscription plans, billed either monthly or annually. Current pricing and feature limits for each plan are shown on our Pricing page. Annual billing is discounted 20% against the monthly rate for the same plan.
- Payment processing. Subscriptions are billed through Razorpay. By subscribing, you authorize Razorpay to charge your selected payment method (UPI Autopay or card e-mandate) on each billing cycle.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annually, matching your selected plan) unless cancelled before the renewal date. You'll receive a reminder in advance of each renewal charge.
- Invoices. A GST-compliant invoice is generated automatically for every successful charge and is available in your billing settings and sent to your account email.
- Cancellation & refunds. You may cancel auto-renewal at any time from your billing settings. Cancelling stops future charges; your plan remains active for the remainder of the period you've already paid for. Refunds are governed by our separate Refund & Cancellation Policy.
- Upgrades & downgrades. You can change plans at any time. Upgrades take effect immediately with a prorated charge for the remainder of the current period; downgrades take effect at the start of your next billing cycle.
- Price changes. We may change subscription pricing with at least 30 days' notice by email before it applies to your next renewal; continuing your subscription after that date constitutes acceptance of the new price.
- Taxes. Prices shown are exclusive of applicable GST, which is added at checkout and reflected on your invoice.
Suspension for non-payment
If a scheduled payment fails, the following sequence applies:
- Day 0 — payment fails. Razorpay retries the charge automatically and we email you that payment failed, with a link to update your payment method.
- Day 0–7 — grace period. Your dashboard remains fully functional. A persistent banner at the top of the dashboard shows the outstanding amount and due date. Reminder emails are sent on day 1, day 3, and day 6.
- Day 7 — read-only mode. If payment is still unresolved, live syncing (orders, ads, listings) pauses and the dashboard becomes read-only — you can view existing data but not take actions like adjusting bids or exporting reports, until payment is resolved.
- Day 30 — suspension. If payment remains unresolved 30 days after the original due date, the organization is suspended: dashboard access is blocked entirely, though data is retained per the Privacy Policy's retention terms in case you return.
- Reactivation. Paying the outstanding balance at any stage before data deletion restores full access immediately.
Data & marketplace connections
Sellerio accesses order, inventory, and advertising data through the marketplace APIs you connect, solely to power your own dashboards and reporting. Full detail on what's collected and how it's used is in our Privacy Policy. You can disconnect any marketplace account at any time, either within Sellerio or directly through that marketplace's own developer/app management settings.
Intellectual property
- Sellerio, its software, design, and branding are owned by us and are not transferred to you by using the service. You receive a limited, non-exclusive, non-transferable right to use Sellerio for your own business operations during an active subscription.
- You retain all rights to your own data — orders, listings, COGS, and any content you upload. We only use it to provide the service to you, as described in the Privacy Policy.
Confidentiality
Each party agrees to protect the other's confidential information (including your business data and our platform's non-public technical details) with the same care it uses for its own confidential information, and not to disclose it except as needed to provide or use the service, or as required by law.
Warranties & disclaimers
Sellerio is provided on an "as is" and "as available" basis. We aim for reliable uptime and accurate syncing, but marketplace APIs, scheduled maintenance, or factors outside our control can affect availability or data freshness. Features may be added, changed, or removed as the platform evolves. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
Sellerio is a tool to help manage your selling operations — it does not guarantee sales, advertising performance, or profitability outcomes. To the fullest extent permitted by law, Sellerio is not liable for indirect, incidental, or consequential damages arising from use of the platform, including losses related to advertising spend, inventory decisions, or marketplace account actions taken using data or suggestions from Sellerio. Our total liability for any claim arising from these terms is limited to the amount you paid us in the 3 months preceding the claim. You remain responsible for reviewing and approving any pricing, bidding, or inventory changes before they take effect.
Indemnification
You agree to indemnify and hold Sellerio harmless from claims, damages, or expenses arising from your breach of these terms, your misuse of the platform, or your violation of Amazon's, Flipkart's, or Meesho's own policies through your use of Sellerio.
Termination
You may stop using Sellerio and disconnect your marketplace accounts at any time. We may suspend or terminate an account for violation of these terms, non-payment (per the schedule in Suspension for non-payment above), or if required to protect the platform or comply with a marketplace's developer policies. On termination, your right to use Sellerio ends immediately; data handling after termination follows the Privacy Policy.
Force majeure
Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including outages of Amazon's, Flipkart's, Meesho's, Razorpay's, or our hosting provider's infrastructure, internet or power outages, or government action.
Governing law & disputes
These terms are governed by the laws of India. Any dispute will first be attempted to be resolved through good-faith discussion; if unresolved within 30 days, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Surat, Gujarat, with proceedings in English. Subject to the above, the courts of Gujarat, India have exclusive jurisdiction.
General provisions
- Assignment. You may not assign your account or these terms without our consent; we may assign these terms in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision of these terms is found unenforceable, the remaining provisions stay in effect.
- Entire agreement. These terms, the Privacy Policy, and the Refund & Cancellation Policy make up the entire agreement between you and Sellerio regarding the service.
- No waiver. Failure to enforce any provision is not a waiver of our right to enforce it later.
If these terms change in a way that materially affects your use of Sellerio, the "Last updated" date above will be revised and account holders will be notified by email at least 7 days in advance where practical.
